01Scope and acceptance
These Terms and Conditions ("Terms") govern your access to and use of the infrastructure services COREHOP provides — bare metal and dedicated servers, GPU and AI compute, storage systems, and the networking, support or managed services ordered alongside them. All of that is called the "Services".
Together with the order form for each Service you buy (the "Order Form"), these Terms form the agreement between us (the "Agreement"). Where an Order Form says something different from these Terms, the Order Form wins for that Service, and only for that Service.
Placing an order, or continuing to use a Service you have already ordered, means you accept the Agreement. If you do not accept it, do not order — and tell us why, because a term we cannot agree with is a term we would rather fix.
You are the person or business entity that accepts these Terms. If you order on behalf of an organisation, you confirm you are authorised to bind it, and that organisation is the customer. A company that accepts these Terms for its own users is responsible for what those users do with a Service.
02Definitions
These words have the following meanings wherever they appear in the Agreement.
- Client area
- The COREHOP account portal. Orders are placed there, invoices are issued there, and support tickets are submitted there.
- Customer Data
- Anything you or your users store, process or transmit on the Equipment — software, content, databases, configuration files and the backups you make of them.
- Data centre
- A COREHOP facility in which Equipment is housed. COREHOP operates Data centres in the United States, in Dallas, Los Angeles, Chicago and Ashburn.
- Equipment
- The server, GPU, storage, network port and related components supplied to you under an Order Form.
- Fees
- The amounts invoiced for the Services, excluding Taxes.
- Order Form
- The record of what you ordered: the Equipment, the Data centre, the term, the Fees, and any service level that applies to it.
- Specified Term
- The period a Service is ordered for, as set out on the Order Form.
Headings are for readability and do not change the meaning of anything. "Including" means including without limitation.
03Orders and account eligibility
Orders are placed through the Client area, or confirmed by COREHOP in writing. An order is a request rather than a contract: it becomes binding when we issue an Order Form or an invoice for it, whichever happens first.
To hold an account you must be at least 18 years old, legally able to enter a contract, and authorised to do business in your jurisdiction.
You must give accurate registration and contact details and keep them current. Most of what we send a customer is sent to the email address on the account — invoices, renewal notices, maintenance windows, security notices, suspension and termination notices. An address nobody reads is an address we cannot reach you at.
You are responsible for everything that happens under your account and for keeping your credentials confidential. Tell us promptly if you think someone else has them.
We may decline or cancel an order where the intended use conflicts with Clause 7, where we cannot lawfully supply it, or where we need information you have not given us. Where we cancel an order that has already been paid for, we refund it.
04Term, billing and renewal
Services are provided on a monthly term. The Specified Term shown on your first invoice is the Specified Term of the Agreement, and each month after that is billed separately through the Client area on the due date shown on the invoice.
Each Specified Term renews automatically for a further period of the same length. A renewal invoice appears in the Client area before the renewal date. This is deliberate and it is the default: a Service keeps running because nothing cancelled it, not because it needs renewing.
To stop a Service renewing, tell us before its renewal date — through a ticket in the Client area, or in writing to the address in Clause 21. A cancellation takes effect at the end of the period you have already paid for and is not backdated. Missing the renewal date is what renews a Service; silence is not a cancellation.
Cancelling one Service does not cancel any other, and cancelling a Service you own outright does not cancel the Account.
The renewal price is the price of that Service when it renews, not the price at which you first ordered it. Hardware ages and stock changes, and a renewal is priced on what the Equipment is worth then.
05Fees, payment and Taxes
Fees are as set out on the Order Form and in the Client area, in US dollars, and exclude Taxes.
Invoices are payable by the due date shown on them, using a method available in the Client area. Charges levied by your bank or card issuer on a payment are yours to bear, not ours.
Taxes, duties and similar charges on the Services are payable by you and are added to the invoice where we are required to collect them. Prices shown on our website and in the Client area exclude Taxes unless they say otherwise.
Where an invoice is unpaid when it falls due we may suspend the affected Service. We will try to warn you first. Suspending a Service does not cancel it: the term keeps running and the Fees keep accruing, so cancellation — not suspension — is how to stop them.
If an invoice looks wrong, tell us promptly and we will look at it. We correct an error that is ours. An amount genuinely owed stays payable while a query is resolved unless we agree otherwise in writing.
We may change Fees on reasonable notice through the Client area. A change applies from the next renewal of the Service it affects, and never to a term you have already paid for.
Where we cancel a Service that has been paid for, or a payment is duplicated, we refund it. Otherwise Fees already paid for a Service that has been delivered, or that has been partly used in the month you cancel, are not refundable — except where the law requires otherwise, or where Clause 6 or Clause 16 says we refund.
06Availability, maintenance and support
A Service is provided on an ongoing basis. Unless your Order Form says otherwise, COREHOP does not commit to a specific uptime percentage, a response time or a resolution time, and none has been agreed for your Service.
Where a service level has been agreed — in an Order Form or in a separate service level agreement — that document is the only commitment we have made, and it is the only route to service credits. Without one, there is nothing to claim against.
We may take a Service offline for maintenance, upgrades or hardware replacement. We aim to give notice through the Client area or by email before work that causes downtime, and to schedule it outside the peak hours of the Data centre it affects. Notice is not always possible: emergency work, hardware failure and events outside our control do not wait for a maintenance window.
Support is provided through tickets in the Client area, which is also where the history of a Service lives. We read a ticket and we respond to it. What we have committed to do, and how quickly, is a service level under this Clause — and where none has been agreed, no response time is promised.
These Services run on the public internet. Their performance depends on the networks, facilities and software of the internet at large, on your own systems and configuration, and on how much of the resource you use. We do not promise that a Service will be uninterrupted or error-free.
Managed operations are not part of the Service unless they are ordered. On bare metal and dedicated hardware you are responsible for the operating system, patching, monitoring, backups and day-to-day administration. Hands-on and managed services are separate Services, quoted separately.
07Acceptable use
You may not, and may not let anyone else, use a Service to do any of the following. This Clause binds you and every user you give access to.
- Probe, scan, attack or attempt to gain unauthorised access to any system, network or service other than your own, whether from a Service or through one you have compromised.
- Use a Service for anything unlawful, or to host, store, distribute or make easier content that is unlawful, infringing, defamatory, or that encourages self-harm, violence or hatred.
- Distribute malware, ransomware, botnets, or software you do not have the right to distribute. Operating a Tor exit node is not permitted.
- Record or capture a stream, broadcast or event you have no right to record, or distribute the result.
- Send unsolicited bulk email, run an open or unauthenticated mail relay, or send unsolicited SMS messages.
- Mine cryptocurrency on the Equipment, or resell, sublicense or transfer a Service or any part of one, without our written consent. Reselling bandwidth, IP addresses or capacity needs that consent too.
- Interfere with, or attempt to bypass, the security, monitoring, rate limiting or billing controls of the Services or the Client area.
- Hide the origin of traffic in a way that misrepresents who you are or where it comes from. Ordinary, lawful privacy tooling is not a misrepresentation.
- Store or process the personal data of other people without a lawful basis for doing so, or use a Service to target, harass, deceive or exploit anyone.
- Overload or degrade the Services — sustained load that degrades the platform for other customers, or resource use materially beyond what you ordered.
- Transmit content that is false, defamatory, or that infringes someone else's privacy or intellectual property.
If a Service is used in a way that breaks this Clause we may suspend it without notice where the breach is unlawful, where it threatens other customers or our network, or where notice would give the harm time to happen. We will tell you what we found.
Suspension does not stop Fees accruing and does not by itself end the Agreement. If a breach is not fixed, we may terminate under Clause 12.
Where a Service is being used to infringe copyright and the rights holder notifies us, we will handle that notice as the law requires — which may mean removing the content and telling the account holder.
We cooperate with lawful requests from law enforcement and regulators, and where we are permitted to we will tell you that we have done so.
08Your data and your backups
Customer Data is yours, and you keep every right in it. We claim no ownership of it and do not use it for anything other than delivering, supporting and billing for the Services.
Backing it up is your responsibility. On bare metal and dedicated hardware COREHOP does not hold your backups unless a backup Service is ordered: no backup Service means no copies, no snapshots and no right of recovery. If you lose Customer Data, we cannot supply it, and Clause 14 caps what we would owe you for having lost it.
You are also responsible for what is on the Equipment — deleting what you no longer need, and meeting your own retention, privacy and security obligations for the data you hold.
To deliver or support a Service we may need to access Customer Data — replacing a failed disk, or investigating a fault you have asked us to look at. We do it only as far as the task needs, with notice where that is practicable, and on the instruction of whoever is entitled to give it. You authorise us to do that. Where an instruction would require us to break the law or these Terms, we will not follow it.
When a Service ends you get a reasonable window to retrieve Customer Data, after which we may delete it. Tell us what you want done with it, and how you want it returned, before the window closes. We do not owe you a copy of it.
Each of us will keep the other's confidential information confidential and use it only for the Agreement. That does not apply to information that is public, that you already had without a duty of confidence, or that we are required to disclose to a regulator or by law — and where we are permitted to tell you first, we will.
09Intellectual property
We and our licensors keep every right in the Services themselves: the platform, the Client area, our software and documentation, our name and logo, and the design of this site. These Terms give you a limited, revocable, non-exclusive and non-transferable licence to use them as delivered, for as long as you are paying for the relevant Service. Nothing else is licensed to you.
You keep your rights in Customer Data and in anything else you bring. Where you give us something to use so we can deliver a Service, you give us permission to use it for that, and you confirm you have the right to.
Do not copy, scrape, resell or reverse engineer the Services, our software or our documentation, except where the law expressly allows it. Reverse engineering for interoperability is permitted where your jurisdiction provides that exception.
If you believe something on this site or in our documentation infringes your copyright, send a notice to the legal address in Clause 21 that identifies the work, where it appears, your contact details, and a statement that you have a good-faith belief it infringes. We will review it and remove it if that is what it is.
10Third-party software
Operating systems, hypervisors, control panels and the other software on your Equipment are licensed to you under their own terms, not these. Where a licence is click-through, you accept it when you click through, and it binds you from then on.
If you use software in a way its licence does not permit, that is between you and its owner. Where a licence obliges us to suspend or remove software — an expired or time-limited licence is the usual case — we may have to do the same, and we will tell you first where we can.
You are responsible for the security of everything you install on the Equipment, including keeping it patched.
11Equipment and where it runs
Equipment is as specified on the Order Form. Where a figure is described as an estimate, a target or an allowance — a monthly transfer allowance, for example — it is one, and the figures we publish are the figures we plan and build against.
Hardware ages and stock changes. We may replace Equipment with hardware of equal or better specification, and we may change what is in our catalogue, provided the Service you are paying for stays materially what it was.
COREHOP operates Data centres in the United States. The Data centre for your Service is the one named on your Order Form. We may move Equipment between our Data centres for maintenance, supply or capacity reasons, and we will tell you before we move a live Service where we are able to. A move is not a cancellation and does not entitle you to a refund.
If a particular city matters to you — for latency, for interconnection, or for a regulatory requirement you have — say so before you order and get it written onto the Order Form. Until it is on the Order Form it is where we happen to be running the machine.
Hardware fails. Where we replace failed Equipment we replace it with comparable specification; we do not warrant an expected component lifetime.
12Suspension, cancellation and termination
You may cancel a Service at any time by notice given under Clause 4. Cancelling stops the renewal; it does not refund the period you have already paid for.
We may suspend a Service where an invoice remains unpaid after we have tried to warn you, where a breach of Clause 7 continues after notice, or where a Service is being used in a way that endangers the safety of the network, our staff or other customers — in which case we may suspend first and ask afterwards.
We may terminate for a material breach we cannot cure, for a repeated breach of Clause 7, for fraud, or where a statement you made to us was false in a way that mattered. We may terminate immediately where continuing would break the law.
Where we intend to terminate for a breach you can cure, we will give you notice and a reasonable opportunity to fix it first. Where the breach is unlawful or urgent, we do not have to.
On termination the Equipment returns to us — or, for dedicated hardware you own outright, to you, as the Order Form records — your access ends, the paid term ends, and Fees stop accruing. Clause 8 governs what happens to your Customer Data.
Clauses that by their nature should survive termination do survive it, including the Fees owed, limitation of liability, indemnity, and dispute resolution.
We may terminate all Services on 60 days' written notice. Fees paid for the period are not refundable, except where the law says they are.
13Disclaimers
Except where these Terms say otherwise, the Services are provided as they are. To the fullest extent the law allows, we disclaim every warranty, express or implied, including merchantability, satisfactory quality, fitness for a particular purpose and non-infringement — and any warranty that the Services will be uninterrupted or free of error.
We do not warrant that the Services will meet your requirements or that you will achieve any particular result. Choosing hardware for a workload is your decision. If you are unsure, talk to us before you order and we will tell you what we think.
Equipment is sold as its Order Form describes it, new or refurbished. Where we sell refurbished Equipment we say so on the Order Form rather than leaving you to find out.
Nothing in these Terms excludes or limits a warranty or a right that cannot lawfully be excluded or limited. Where you are a consumer, the consumer protections of your own jurisdiction still apply. In particular, where you are a consumer in California, nothing here waives your rights under that state's Unfair Competition Law or Consumer Warranty Act.
14Limitation of liability
Neither of us is liable for indirect or consequential loss of any kind, or for loss of profit, revenue, anticipated savings, goodwill or data, however it arises — even if we were told it might happen.
Our total liability to you for anything arising out of or connected with the Services, on any legal basis, is limited to the Fees you paid us for the affected Service in the 12 months before the first event that gave rise to the claim. That cap includes lost data and business interruption; it is not additional to them.
We are not liable for our own failure to do something these Terms do not require of us, for the actions or failures of anyone else — another network on the internet, a software vendor, the operator of a service your traffic reaches — or for the content of anything reachable through a Service.
These limits apply to the maximum extent the law permits. They do not apply where the law does not allow a limit to apply — for example to liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be capped.
Keeping your own backups matters here as much as it does operationally. The cap above would not cover replacing Customer Data we hold no copy of, which is why Clause 8 puts the backup on you.
15Indemnity
You agree to indemnify COREHOP against claims, damages and reasonable costs arising out of your Customer Data, out of what you or your users do on a Service, or out of your breach of these Terms or of the law. That includes the reasonable cost of responding to a claim about content you host, where the claim is about your content and not about our platform.
Where a claim touches you, we will tell you promptly, let you take over its defence where we can, and not settle it in a way that admits fault or imposes an obligation on you without asking you first.
Where a third party claims that the Services themselves infringe its intellectual property, and you have used them as these Terms permit, we will at our option obtain the right for you to keep using them, replace or modify them so they no longer infringe while remaining materially the same Service, or terminate them and refund the Fees paid for the affected period. That is our whole liability for such a claim, and it does not apply where the claim comes from your Customer Data or your own modifications.
The indemnities in this Clause are the only obligation either of us has to the other in respect of a third-party claim.
16Events outside our control
Neither of us is liable for a failure or a delay caused by something outside our respective reasonable control: natural events, war, terrorism, civil unrest, epidemic, industrial action, a failure of power or another utility, a failure of an upstream network or carrier, or the failure of a third-party supplier or facility.
If such an event affects a Service for more than 30 consecutive days, either of us may cancel the affected Service without charge and without liability to the other, and Fees paid for the unused part of the period are refunded.
17Legal compliance
These Terms apply in the United States, where our Data centres are. Each of us complies with the law that applies to us.
We do not supply a Service where doing so would break a law, a sanctions regime or an export control, and we may decline an order or end a Service if we become unable to supply it for that reason.
Because infrastructure can be misused, we may ask for reasonable information about what a Service is for where we have a reason to think the answer matters — confirming the identity of an account holder, or the nature of a workload. If we ask and the answer does not satisfy us, we may decline the order or suspend the Service.
18Notices
Notices about a Service — invoices, renewals, maintenance, security, suspension, termination — are given through the Client area and by email to the address on the account. A notice is given when it is sent, or for the Client area when it is posted.
Notices about these Terms — a change to them, or something that affects them — are given by email to the registered address and by publishing the new version on this page.
Formal legal process may be served on you at the email address on the account, and we will treat it as given.
19Changes to these terms
We may change these Terms. Where a change is material to a Service you are using, we will tell you at least 30 days before it takes effect, by email and in the Client area. Where a change is not material — a correction, a clarification, a housekeeping edit — it takes effect as soon as it is published.
The version published on this page when a Service renews is the version that applies to that renewal. If you do not accept a change, cancel before it takes effect under Clause 4, and we will refund any part of a period you have paid for and cannot deliver under the old terms.
Neither of us has relied on anything said outside these Terms and the Order Form to induce the other to order. If one of our team promises you something that is not written down, ask us to put it on the Order Form — that is where it counts.
20General
- Assignment. You may not assign the Agreement without our written consent. We may assign it to a successor of the business, on notice to you, and your terms stay the same.
- Third-party rights. Someone who is not a party to the Agreement has no right to enforce it — except that a copyright holder may enforce a notice under Clause 9.
- Severability. If a provision is unenforceable it is severed and the rest of the Agreement stands.
- Waiver. Not enforcing a right straight away is not giving it up.
- Entire agreement. The Agreement is the whole deal between us on its subject and replaces anything said before it.
- Survival. Clauses that by their nature should survive termination do survive it.
- No partnership. Nothing in the Agreement makes either of us the agent, partner or employee of the other.
- Electronic acceptance. These Terms and an Order Form may be accepted electronically, including by placing an order through the Client area.
21How to reach us
Contracts, invoices and support go through the Client area. A ticket there is the fastest route, and it keeps the history of your Service in one place where you can find it.
Before you order — a hardware question, a project that needs designing, or anything else you would like a straight answer on — use the contact form on this site.
Copyright notices and other formal notices go to the legal address below. Our Data centres are in Dallas, Los Angeles, Chicago and Ashburn, and the particulars of the entity you are contracting with are set out with it.
How COREHOP handles personal data collected through the Client area and through this website is described in our privacy notice, which also says what you can ask us to do with it.
